The business of America is business. Business thrives in the United States because individuals are able to establish and grow businesses without exposing their personal assets in case of accidents, injuries or outright failure created in pursuit of the enterprise. These protections of an individual’s assets are created through use of limited liability entities created by statute in each state and include corporations, limited liability companies, and limited partnerships. The protections of these entities are only afforded when all of the statutory requirements are followed, including filing the Annual Reports with the Secretary of State, keeping and documenting Minutes of the Annual Meeting, maintaining separate bank accounts, and representing the entity to the world as the type of entity that it is (using the name with its suffix, e.g. “corp.”, “inc.”, “ltd.”, “incorporated”, “LLC”, “PC”, at all times). If these formalities are not met, then, in the event of a law suit, the Court may “pierce the corporate veil” and the owner’s personal assets may be used to pay a judgment.

Our office takes care of all aspects of corporate formation and, for a reasonable fee, continues to manage more than 30 corporations, from small enterprises to large corporations with international shareholders. We draft agreements, review contracts and leases and represents corporate clients through negotiations and, when necessary, in litigation.
